Merger
Merger means the affiliation of two or more companies to a new unit. It can be differentiated between addition and new creation. In the first case, company A adopts the assets and debts of company B; in the second case, the assets and debts of all merging companies A and B are transferred to the new company C. The companies absorbed in the new company then cease to exist, so that only company C exists.
The purpose of a merger can be the use of advantages caused by greater size, e.g. to secure the competitive capability, to increase market shares or to decrease excess capacities. In order to make full use of the efficiency of a large-scale enterprise, the active integration of the different business cultures have to be furthered, a fact often underestimated by leading management departments.
